I got it to work. I had to run the S3DRUN on the actual setup file, then setup the sound card and from the setup, select the "save and launch TV" option.

TV plus newer Virges can be a PITA to get running. You definitely need to use something like "S3DRUN TV.EXE", not game.exe. That seems to of been the issue, after a clean bill of memory health from MEMtest I updated the BIOS, and after WinXP installed without any issues. I believe the BIOS on the board was the original BIOS from launch but updating to the 2005 2CA2 BIOS seems to have fixed things. thanks again!
