The disk is too big for good old fdisk.
You could format the disk with a Windows XP setup disc, after the format, abort the setup and resume the OS setup of your choice.

2nd option:
Does the disk have a 32GB limit jumper? Try that and see what happens.

i386 16 ⇒ i486 DX4 100 ⇒ Pentium MMX 200 ⇒ Athlon Orion 700 | TB 1000 ⇒ AthlonXP 1700+ ⇒ Opteron 165 ⇒ Dual Opteron 856

done it with hiren boot cd partition tools,
disk has been partitioned and formated to fat 32 with acronis disk director.
i made one big partition of 120gb (my mb has 127gb limit on ide controller)
and i left all the other 32gb of space unallocated.
win 98 setup done a drive error check and a surface test, fixing some errors and all good after several hours.
my old damaged p4 motherboard done win98 fdisk with same hard drive just fine to all 160gb of space.
with p3 board does not.
