Have you tried running the game as administrator, or in compatibility mode? If that fails, the issue comes from the game being unable to work correctly if more than 2GB of RAM are present. If your computer has more than 2GB you might want to follow the instructions for Kiwi here and limit the game to 1GB of RAM to be on the safe side.

It sounds like you need to run the "dx_websetup" installer to install all the (and I have no idea why Microsoft does this crap) missing DirectX 9 SDK and XAudio2 files.

Failing that, it might be a bug in your drivers for your NVIDIA GPU.
