My guess is heat. Since that Matrox card doesn't seem to have a fan, make sure there's plenty of extra air circulation in the computer case.

I'm not an expert at getting joysticks working, but I'd check for IRQ conflicts. If I didn't see any IRQ conflicts in normal mode I'd also check Device Manager in Safe mode. Have you already installed Windows 98? or are you in the process of booting off the Windows 98 CD in order to install it? If you're trying to boot off the Windows 98 CD, make sure it's a bootable one (some Windows 98 CD's aren't bootable).
