Finally I was able to find out why my Win 98 does not boot - and it happens precisely after installation of usb drivers and my NEC USB controller being added to hardware. So my question - may it be IRQ conflict or something else?

In my Socket 7 machine I got similar USB controller (not the same) and its working fine with AWE64.

Where should I start - could moving cards to different PCI/ISA slots help?

If anyone is interested in solution - I've unplugged USB controller and plugged it back (in different PCI slot). As a result I see that AWE64 has changed resources - from IRQ 5 DMA 1 to IRQ 7 and DMA 3 (actually all resources changed) and is working fine now.
