Be aware that the Win9x version of VDMSound is basically an "experimental Alpha". That means if it works properly for you, great; if it doesn't, don't expect a fix unless someone comes along and offers to code an update.
..well I've downloaded them both but VCRDIST doesn't seem to install at all on my Win98 PC - it asks me to reboot which I did but after that theres nothing installed at all in C:\VDMSOUND or anywhere else for the that matter
It shouldn't place any files in the VDMSound directory, almost all of them will be placed in the SYSTEM directory. The files (most of them anyway) are as follows:

These, by the way, are not "VDMSound files", they are files needed to run programs created with "Visual C".

Correct. That needs to be done before attempting to run it.
Now the problem is - is the unzipped vdmsound(1).win9x.alpha1 folder the fabled VDMSOUND folder
Errr...No. You have to create a folder called VDMSound in the root directory of C:
You should've copied the files from the zip file into that directory before attempting to run the INSTALL.BAT file. Now you've got some screwed-up Registry entries. Not sure how to fix that. Vlad might know.
...and secondly, how do I edit the AUTOEXEC.BAT file anyhow?
If you have to ask this question, then you might want to avoid running Alpha programs. They are not designed as easy, user-friendly programs, but as experimental programs that require the user to have at least moderate level of computer knowledge.
To answer the question, (if you are editing within Windows) just right-click on the file and choose Edit.
BTW, we need more data on your System specifications (especially the sound card and it's settings). Did you try matching TombRaider's audio setup with your card's audio settings first?
