The bios and chipset have some say in the compatibility. The oscillator will determine the base speed of the chip.
This one has the IBM486SLC2 and it has it's own oscillator I was reading that it should work independently of the motherboards oscillator?
What model of upgrade card is it? Some of them (especially the IBM modules) will only work on the board they were designed for. I have a 486SLC2 here that is for an IBM 50z and it won't work on anything else I've tried it on - regardless of clock fitted to the motherboard.

Here is what it looks like. I don't have a co-processor in mine. There are no jumpers or switchs. 50MHZ oscillator.
